The monumental $55 billion private acquisition of Electronic Arts (EA), a titan in the video game industry, is on the cusp of finalization. After more than a year of intensive scrutiny and debate, EA has announced that it has secured “all regulatory approvals” necessary for the deal to proceed. This significant development, detailed in a mandatory U.S. business filing known as an 8-K, indicates that the acquisition is slated to be completed on August 4th.
This impending closure marks the expected culmination of a complex leveraged buyout. The transaction involves Saudi Arabia’s Public Investment Fund (PIF) in partnership with private equity firm Affinity Partners and investment manager Silver Lake. A leveraged buyout, by its nature, relies heavily on borrowed funds rather than the acquirer’s own capital. Typically, the debt incurred is repaid using the revenue and assets of the acquired company.
